Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Kalem Voice AI Agent services, including our website, API, and any other software, tools, features, or functionalities provided on or in connection with our services (collectively, the "Service"). Please read these Terms carefully, as they include important information about your legal rights.

By accessing or using the Service, you are agreeing to these Terms. If you do not agree to these Terms, please do not access or use the Service.

Service Description

Kalem provides AI-powered voice agent technology that enables automated inbound and outbound calling capabilities, including but not limited to:

• Voice-based interactions using artificial intelligence
• Speech synthesis and recognition
• Natural language processing and understanding
• Call summarization and transcription
• Integration with third-party systems (CRM, ticketing, etc.)
• Voice agent customization and management

Account Registration and Security

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to immediately notify Kalem of any unauthorized use of your account.

We reserve the right to disable any user account, at any time, if in our sole discretion we determine that you have violated any provision of these Terms.

Subscription and Billing

The Service is offered on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly or annually), depending on the subscription plan you select. At the end of each period, your subscription will automatically renew unless you cancel it or we terminate it.

By subscribing to the Service, you authorize us to charge your payment method on a recurring basis. If your payment cannot be completed, we reserve the right to suspend your access to the Service until payment is received.

You may cancel your subscription at any time through your account settings or by contacting our customer support. Upon cancellation, you will continue to have access to the Service through the end of your current billing period.

Usage Limitations and Fair Use

Your subscription includes a specific allotment of minutes and features based on your selected plan. Exceeding these limits may result in additional charges or service limitations.

We expect all users to adhere to fair use principles and not abuse the system. Abnormal usage patterns that suggest automated abuse, reselling, or redistribution of our services may result in service limitations or account termination.

Your Responsibilities and Acceptable Use

You are responsible for all content and communications processed through the Service under your account. You agree not to use the Service for any unlawful purposes or to conduct any unlawful activity, including, but not limited to:

• Fraud, deception, or impersonation
• Harassment, abuse, or threats
• Spam or unsolicited communications
• Violation of privacy rights or data protection regulations
• Illegal telemarketing or calls that violate the Telephone Consumer Protection Act (TCPA) or similar regulations
• Collection of user information without appropriate consent
• Using the Service to discriminate against or target individuals based on protected characteristics

You acknowledge that you are responsible for complying with all applicable laws and regulations related to telecommunications, privacy, and consumer protection in the jurisdictions where you operate.

Compliance with Telecommunications Laws

Users must comply with all applicable telecommunications laws and regulations, including but not limited to:

• Telephone Consumer Protection Act (TCPA) and similar laws governing automated calling systems
• Federal Trade Commission (FTC) regulations on telemarketing
• Federal Communications Commission (FCC) rules
• State-specific telemarketing and robocall regulations
• International telecommunications regulations where applicable

You are responsible for obtaining proper consent before making automated calls using our Service. This may include:

• Obtaining prior express written consent for telemarketing calls
• Respecting do-not-call lists and call time restrictions
• Providing clear identification and disclosure that the call involves an automated system
• Offering easy opt-out mechanisms

Disclosure of AI Usage

You agree to properly disclose to call recipients that they are interacting with an AI voice agent, in accordance with applicable laws and ethical practices. The Service may include automated disclosures, but you remain responsible for ensuring compliance with any disclosure requirements in your jurisdiction.

Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Kalem and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of our copyrighted material without our prior written consent.

By submitting, uploading, or otherwise making available any content through the Service, you grant Kalem a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based upon, distribute, and display such content for the purposes of operating and providing the Service.

Voice Technology and AI Models

Our AI voice technology, including voice synthesis and recognition capabilities, is licensed to you for use with the Service only. You do not acquire any ownership rights to our technology or AI models.

The Service may analyze and process your communications data to train and improve our AI models. By using the Service, you grant us permission to use anonymized and aggregated data derived from your usage for improving our models, subject to the restrictions in our Privacy Policy.

Third-Party Integrations

The Service may offer integrations with third-party products, services, or platforms. These integrations are provided as-is and are subject to their own terms and privacy policies. We do not warrant or support third-party products or services and are not responsible for their functionality or your use of them.

Limitation of Liability

In no event shall Kalem, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service, including transcriptions, call summaries, or AI-generated responses
• Unauthorized access, use, or alteration of your transmissions or content

Our liability is limited to the maximum extent permitted by law. In jurisdictions where limitations on implied warranties or the exclusion or limitation of certain damages are not permitted, our liability shall be limited to the greatest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Kalem and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that content or communications processed through the Service under your account caused damage to a third party

Term and Termination

These Terms shall remain in full force and effect while you use the Service. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription through your account settings.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Sheridan, Wyoming, and you hereby consent to the personal jurisdiction and venue therein.
